Terms of Service

Last updated: October 7, 2026

1. Agreement; Acceptance

These Terms of Service (these "Terms") constitute a binding agreement between TigerWillow LLC, a Georgia limited liability company ("Teamagogo," "we," "our," or "us"), and the person or entity accessing or using the Service ("Customer," "you," or "your"). By creating an account, clicking to accept these Terms, or using the Service, you agree to be bound by these Terms and by the Privacy Policy, which is incorporated by reference. If you use the Service on behalf of a business, you represent and warrant that you have authority to bind that business, and "you" refers to that business. If you do not agree to these Terms, do not use the Service.

2. The Service

Teamagogo provides web-based software for employee scheduling, time and attendance tracking, and workplace communication (the "Service"), delivered as a progressive web application accessible through supported browsers and installable on mobile devices. We may modify or enhance the Service from time to time. If we materially reduce the core functionality of a paid plan, we will provide reasonable advance notice.

Text messages. Teamagogo sends account text messages from (888) 515-8326: an invitation to join an employer's workspace, sent when the employer adds a person and confirms they agreed to receive work texts. Message frequency varies; usually one message per invitation. Message and data rates may apply. Reply STOP to opt out at any time, or HELP for help; you can also write to support@teamagogo.com. Carriers are not liable for delayed or undelivered messages. See our Privacy Policy for how phone numbers are handled.

3. Eligibility; Account Registration

You must be at least 18 years of age and capable of entering into a binding contract to register a business account. You agree to provide accurate and complete registration information, to maintain the confidentiality of your credentials, and to notify us promptly at support@teamagogo.com of any unauthorized use of your account. You are responsible for all activity occurring under your account.

4. Authorized Users

The Customer may invite its employees and other personnel to access its workspace ("Authorized Users"). Authorized User accounts are provided at no charge to the Authorized User. The Customer controls its workspace, including the data within it and the permissions assigned to each Authorized User, and is responsible for its Authorized Users' compliance with these Terms. Individuals under 18 years of age may access the Service solely as Authorized Users in connection with lawful employment and under the supervision of their employer. Inquiries by Authorized Users regarding schedules, recorded hours, or compensation should be directed to the employer, which controls that information as described in the Privacy Policy.

5. Fees; Payment

5.1 Subscription fees are charged per location at the rates posted on the Service's pricing page and are billed monthly in advance. Fees are not charged per user, and adding or removing Authorized Users does not change the subscription fee.

5.2 The Service includes a free plan for a single location. Eligibility for the free plan is based on the number of distinct individuals who record worked time across the Customer's account in a calendar month, as described on the pricing page; the account owner is not counted. No payment method is required for the free plan.

5.3 Fees are exclusive of applicable taxes, which are the Customer's responsibility, excluding taxes on our income.

5.4 We will provide at least 30 days' notice before any price change takes effect for your account.

5.5 We may suspend access to paid features for nonpayment after notice and a reasonable opportunity to cure.

6. Term; Termination

6.1 Subscriptions continue on a month-to-month basis until cancelled. You may cancel at any time through your account settings. Cancellation takes effect at the end of the then-current billing period, and fees already paid are nonrefundable except where required by law.

6.2 We may suspend or terminate your access to the Service for material breach of these Terms, after notice where practicable.

6.3 Following termination or expiration, we will make Customer Data available for export for 90 days, after which we will delete Customer Data from our production systems in accordance with the Privacy Policy. Sections 7, 8, 11, 12, 13, 14, 15, and 16 survive termination.

7. Customer Data; Ownership

7.1 "Customer Data" means all data submitted to the Service by or on behalf of the Customer or its Authorized Users, including personnel records, schedules, time records, compensation rates, messages, and manager log entries. As between the parties, the Customer owns all right, title, and interest in and to Customer Data.

7.2 The Customer grants Teamagogo a limited, non-exclusive license to host, process, transmit, and display Customer Data solely as necessary to provide and maintain the Service, to prevent or address technical or security issues, and as otherwise instructed by the Customer.

7.3 Teamagogo does not sell Customer Data, does not use Customer Data for advertising, and does not use Customer Data to train machine-learning models for the benefit of any other customer or any third party.

7.4 The Customer may export Customer Data at any time in the formats made available within the Service.

7.5 The Customer represents that it has provided all notices and obtained all consents required by applicable law to submit Customer Data, including personnel data, to the Service.

8. Time Records

The Service permits authorized personnel to correct time entries. All edits are logged with the identity of the editor and a timestamp, and original entries are preserved. The Customer is solely responsible for reviewing and approving time records before their use in payroll, and for compliance with applicable wage, hour, recordkeeping, and scheduling laws.

9. Acceptable Use

You will not, and will not permit any Authorized User to: (a) use the Service in violation of applicable law or the rights of any third party; (b) interfere with or disrupt the integrity or performance of the Service, or attempt to gain unauthorized access to the Service or to any other customer's data; (c) probe, scan, or test the vulnerability of the Service without our prior written consent; (d) reverse engineer, decompile, or disassemble the Service except to the extent permitted by applicable law; (e) resell, sublicense, or otherwise provide the Service to third parties except as expressly permitted by us in writing; or (f) use the Service to transmit unlawful, infringing, or harassing content.

10. Third-Party Services

The Service can generate export files for use with third-party payroll providers. Such exports occur at the Customer's direction. Third-party products and services are governed by their own terms, and Teamagogo is not responsible for them.

11. Intellectual Property; Feedback

Teamagogo and its licensors own all right, title, and interest in and to the Service, including all related intellectual property rights. No rights are granted to you other than as expressly set forth in these Terms. If you provide suggestions or feedback regarding the Service, we may use that feedback without restriction or obligation.

12. No Professional Advice

Informational resources made available by Teamagogo, including calculators and guides concerning tip pooling, overtime, and break requirements, are provided for general informational purposes only and do not constitute legal, accounting, or tax advice. The Customer is solely responsible for its compliance with all applicable laws and should consult qualified counsel regarding its particular circumstances.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TEAMAGOGO DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: (A) IN NO EVENT WILL TEAMAGOGO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND (B) TEAMAGOGO'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (i) THE AMOUNTS PAID BY THE CUSTOMER TO TEAMAGOGO IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (ii) ONE HUNDRED U.S. DOLLARS (US $100). THE FOREGOING LIMITATIONS APPLY NOTWITHSTANDING THE FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE FOREGOING MAY NOT APPLY TO YOU. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

15. Indemnification

The Customer will defend, indemnify, and hold harmless Teamagogo from and against any third-party claims, and resulting liabilities, damages, and reasonable costs and attorneys' fees, arising out of (a) Customer Data, (b) the Customer's or its Authorized Users' use of the Service in violation of these Terms or applicable law, or (c) the Customer's employment practices.

16. Governing Law; Venue; Dispute Resolution

These Terms are governed by the laws of the State of Georgia, without regard to its conflict-of-laws principles. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Cobb County, Georgia. Before initiating any proceeding, the party asserting a dispute will provide written notice to the other party, and the parties will attempt in good faith to resolve the dispute informally for a period of 30 days.

17. Modifications to These Terms

We may modify these Terms from time to time. For material modifications, we will provide at least 30 days' notice by email to the account owner or by notice within the Service. Continued use of the Service after the effective date of a modification constitutes acceptance of the modified Terms. The current version of these Terms, with its effective date, will be posted on this page.

18. General Provisions

These Terms, together with the Privacy Policy and any plan selection made within the Service, constitute the entire agreement between the parties regarding the Service and supersede all prior agreements concerning that subject. If any provision is held unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will continue in full force. Failure to enforce a provision is not a waiver of it. You may not assign these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets, in which case the assignee will remain bound by them. Neither party is liable for delay or failure to perform caused by events beyond its reasonable control. Notices to Teamagogo must be sent to support@teamagogo.com or to the address below; notices to the Customer may be sent to the account owner's email address on file. There are no third-party beneficiaries to these Terms. Section headings are for convenience only.
